Introduction

Below you will find our Terms and Conditions. These always apply when you use or place an order through our Website and contain important information for you as a buyer. Therefore, please read the Terms and Conditions carefully. We further recommend that you save or print these terms and conditions so that you can read them again at a later time.

Definitions

1 Miller Concepts: located in Nieuwerkerk aan den IJssel and registered with the Chamber of Commerce under registration number 17166852 trading under the name Auto-sleutel.nl.

2 Website: the website of Auto-sleutel.nl, accessible via http://www.auto-sleutel.nl, http://www.carkeyglobal.com and all associated subdomains.

3 Customer: the natural or legal person, whether or not acting in the course of a profession or business, who enters into an Agreement with Auto-sleutel.nl and/or has registered on the Website.

4 Agreement: any arrangement or agreement between Auto-sleutel.nl and the Customer, of which the General Terms and Conditions form an integral part.

5 General Terms and Conditions: these General Terms and Conditions.

Applicability of General Conditions

1 To all offers, agreements and deliveries of the General Conditions apply, unless otherwise expressly agreed in writing.

2 If the Customer, in his order, confirmation or communication containing acceptance, includes provisions or conditions which deviate from, or do not appear in, the General Conditions, these are only binding for Auto-sleutel.nl if and insofar as Auto-sleutel.nl has expressly accepted them in writing.

3 In the event that, in addition to these General Conditions, specific product or service conditions also apply, those conditions also apply, but in the event of conflicting conditions, the Customer may always rely on the applicable provision that is most favorable to him.

Prices and information

1 All prices stated on the Website and in other materials from Auto-sleutel.nl are inclusive of VAT and, unless otherwise stated on the Website, other government levies.

2 No separate shipping costs will be charged.

3 The content of the Website is composed with the utmost care. However, Auto-sleutel.nl cannot guarantee that all information on the Website is at all times correct and complete. All prices and other information on the Website and in other materials from Auto-sleutel.nl are therefore subject to obvious programming and typing errors.

4 Auto-sleutel.nl can not be held responsible for (color) deviations due to screen quality.

5 We supply Aftermarket products unless otherwise indicated. The Brand Names are only used to indicate the applicability of the products and should otherwise not be associated with Auto-sleutel.nl.

Realization of Agreement

1 The Agreement is concluded at the moment of acceptance by the Customer of Auto-sleutel.nl's offer and the fulfilment of the corresponding conditions set by Auto-sleutel.nl.

2 If the Customer has accepted the offer electronically, Auto-sleutel.nl will immediately confirm receipt of electronic acceptance of the offer. As long as the receipt of this acceptance has not been confirmed, the Customer has the option to dissolve the Agreement.

3 If, when accepting or otherwise entering into the Agreement, the Customer provides incorrect data, Auto-sleutel.nl is entitled to comply with its obligation only after the correct data have been received.

4 Auto-sleutel.nl can inform itself within legal frameworks whether the Customer can meet its payment obligations, but also of all facts and factors that are important for a responsible conclusion of the Agreement. If, on the basis of this investigation, Auto-sleutel.nl has good grounds not to enter into the Agreement, it is entitled to refuse an order or application or to attach special conditions, such as prepayment, to the performance, while giving reasons.

Registration

1 To make optimal use of the Website, Customer can register via the registration form/ account sign-up option on the Website.

2 During the registration procedure, Customer chooses a username and password with which he can log on to the Website after registration. Customer is responsible for choosing a sufficiently reliable password.

3 Client must keep his login details his username and password strictly confidential. Auto-sleutel.nl is not liable for abuse of the login details and may always assume that a Customer who logs on to the Website is in fact that Customer. Everything that happens through the Client's account is the responsibility and risk of the Client.

4 If the Customer knows or suspects that his login details have come into the hands of unauthorized persons, he should change his password as soon as possible and/or notify Auto-key.nl of this, so that Auto-key.nl can take appropriate measures.

Execution of Agreement

1 Once Auto-sleutel.nl has received the order, Auto-sleutel.nl will send the products as soon as possible, subject to the provisions in paragraph 3 of this Article.

2 Auto-sleutel.nl is entitled to engage third parties in the performance of its obligations under the Agreement.

3 The delivery time is in principle Within 24 hours shipped during business days. The method of delivery can take place in various ways and is at the discretion of Auto-sleutel.nl

4 If Auto-sleutel.nl cannot deliver the products within the agreed period, it will notify the Customer. In that case, the Customer can agree to a new delivery date or he will be given the opportunity to terminate the Contract free of charge.

5 Auto-sleutel.nl recommends that the Customer inspects the products delivered and report any defects found within a reasonable time, preferably in writing or by e-mail. See further the Article on warranty and conformity.

6 As soon as the products to be delivered have been delivered to the specified delivery address, the risk, where it concerns these products, is transferred to Customer. If expressly agreed otherwise, the risk shall pass to the Customer at an earlier stage. If the Client decides to pick up the products, the risk passes upon transfer of the products.

7 Auto-sleutel.nl is entitled to deliver a product of similar quality to the product ordered, if the product ordered is no longer available. The client is then entitled to dissolve the contract free of charge and return the product free of charge.

Right of withdrawal/return

1 The Client has the right to terminate the distance contract concluded with Auto-sleutel.nl within 14 calendar days after receipt of the product, without giving reasons, free of charge. The period commences on the day after the Customer, or a third party previously designated by him, who is not the carrier, received the product, or:

if Customer ordered several products in the same order: the day on which Customer, or a third party designated by him, received the last product;

if the delivery of a product consists of several shipments or parts: the day on which Customer, or a third party designated by him, has received the last shipment or part;

in case of agreements for regular delivery of products during a certain period: the day on which Customer, or a third party designated by him, has received the first product.

2 Only the direct costs for the return shipment shall be borne by Customer. Customer must therefore bear the return costs himself. If these costs are higher than the regular postal rate, Auto-sleutel.nl will provide an estimate of these costs.

Any costs paid by the Customer for shipping and payment of the product to the Customer will be refunded to the Customer upon return of the entire order.

3 Within the revocation period referred to in paragraph 1, Customer will handle the product and packaging with care. Customer shall only open the packaging and use the product to the extent necessary to inspect the nature, characteristics and operation of products. The starting point here is that this inspection may not go any further than Customer would be able to do in a physical store.

4 Customer is only liable for depreciation of the product resulting from a way of handling the product that goes beyond that permitted in the previous paragraph.

5 The Customer may terminate the Agreement in accordance with paragraph 1 of the period set out in this Article by sending the model withdrawal form (digitally) to Auto-sleutel.nl, or otherwise unambiguously informing Auto-sleutel.nl that he renounces the purchase. In the case of a digital notification, Auto-sleutel.nl will confirm receipt of that notification. After dissolution, the Customer has 14 days to return the product. It is also possible to return the product directly within the cooling-off period stated in paragraph 1 of this Article, provided that the model withdrawal form or other unambiguous declaration for withdrawal is enclosed.

6 Amounts already paid by Customer (in advance) will be refunded to Customer as soon as possible, but at the latest within 14 days after dissolution of the Agreement, in the same way as Customer paid for the order. If the Customer has chosen a more expensive method of delivery than the cheapest standard delivery, Auto-sleutel.nl will not be required to refund the additional costs for the more expensive method. Unless Auto-sleutel.nl offers to collect the product itself, Auto-sleutel.nl may wait with refunding until Auto-sleutel.nl has received the product or until the Customer demonstrates that he has returned the product, whichever is earlier.

7 Information on whether or not the right of withdrawal is applicable and any desired procedure will be clearly stated on the Website in good time before the conclusion of the Agreement.

Payment

1 The Customer must make payments to Auto-sleutel.nl in accordance with the payment methods specified in the ordering procedure and, if applicable, on the Website. Auto-sleutel.nl is free in its choice of offering payment methods and these may also change from time to time. In the case of payment after delivery, the Client has a payment period of 14 days commencing on the day after delivery.

2 If the Customer does not timely comply with his payment obligation(s), the Customer, after being notified by Auto-sleutel.nl of the late payment and Auto-sleutel.nl has granted the Customer a period of 14 days to still comply with his payment obligations, after the failure to pay within this 14-day period, will owe statutory interest on the amount still due and Auto-sleutel.nl is entitled to charge the extrajudicial collection costs incurred by him. These collection costs are up to: 15% on outstanding amounts up to € 2,500, =; 10% on the next € 2,500, = and 5% on the next € 5,000, = with a minimum of € 40, =. Auto-sleutel.nl may deviate from said amounts and percentages for the benefit of the Customer.

Warranty and conformity

1 This article applies only to a Client who is not acting in the exercise of his profession or business. If Auto-sleutel.nl provides a separate warranty on the products, notwithstanding what has just been stated, this applies to all types of Customers.

2 Auto-sleutel.nl warrants that the products comply with the Contract, the specifications stated in the offer, the reasonable requirements of soundness and/or usability and the statutory provisions and/or government regulations existing on the date of the conclusion of the contract. If specifically agreed, Auto-sleutel.nl also warrants that the product is suitable for other than normal use.

3 A warranty provided by Auto-sleutel.nl, manufacturer or importer does not affect the legal rights and claims that the Customer already has and can invoke under the Contract.

4 If the delivered product does not comply with the Agreement, the Customer must notify Auto-sleutel.nl within a reasonable period after he has discovered the defect.

5 If Auto-sleutel.nl considers the complaint justified, the relevant products will be repaired, replaced or reimbursed after consultation with the Customer. The maximum compensation is, subject to the Article on liability, equal to the price paid by the Customer for the product.

Complaints procedure

1 If the Customer has a complaint about a product (in accordance with the Article on warranty and conformity) and/or about other aspects of Auto-sleutel.nl's services, he can submit a complaint to Auto-sleutel.nl by telephone, e-mail or post. See the contact details at the bottom of the General Terms and Conditions.

2 Auto-sleutel.nl will respond to the Customer's complaint as soon as possible, but in any event within 3 days of receipt of the complaint. If it is not yet possible to provide a substantive or definitive response, Auto-key.nl will confirm within 3 days of the receipt of the complaint and provide an indication of the period within which it expects to provide a substantive or definitive response to the Customer's complaint.

Liability

1 This Article only applies if the Client is a natural person or legal entity acting in the exercise of its profession or business.

2 Auto-sleutel.nl's total liability to the Client for attributable failure to perform the Agreement is limited to compensation of up to the amount of the price stipulated for that Agreement (including VAT).

3 Auto-sleutel.nl's liability to the Customer for indirect losses, in any event -but expressly not exclusively- including consequential loss, loss of profit, lost savings, loss of data and damage due to business stagnation is excluded.

4 Outside the cases mentioned in the preceding two paragraphs of this Article, Auto-sleutel.nl is not liable to the Customer for any compensation, regardless of the ground on which an action for damages would be based. However, the limitations referred to in this Article will cease to apply if and insofar as damage is the result of intent or gross negligence on the part of Auto-sleutel.nl.

5 The liability of Auto-sleutel.nl towards the Customer for attributable breach of contract only arises if the Customer immediately and properly gives Auto-sleutel.nl notice of default in writing, setting a reasonable period in which to remedy the breach, and Auto-sleutel.nl continues to be in breach of its obligations even after that period. The notice of default must contain as detailed a description as possible of the breach so that Auto-sleutel.nl is able to respond adequately.

6 Condition for the existence of any right to compensation is always that the Customer reports the damage as soon as possible, but no later than 30 days, after its occurrence to Auto-sleutel.nl in writing.

7 In the event of force majeure, Auto-sleutel.nl is not obliged to compensate any damage suffered by the Customer as a result.

Retention of title

1 As long as the Client has not made full payment for the entire agreed amount, all goods delivered will remain the property of Auto-sleutel.nl.

Personal data

1 Auto-sleutel.nl processes the Client's personal data in accordance with the privacy statement published on the Website.

Final provisions

1 The Agreement is governed by Dutch law.

2 Insofar as rules of mandatory law do not dictate otherwise, all disputes arising in connection with the Agreement will be submitted to the competent Dutch court in the district where Auto-sleutel.nl has its registered office.

3 If any provision of these General Conditions proves to be invalid, this will not affect the validity of the entire General Conditions. The parties will in that case replace (a) new provision (s), which as much as legally possible to the intent of the original provision is given shape.

4 In these General Conditions, "in writing" also includes communication by e-mail and fax, provided that the identity of the sender and the integrity of the e-mail is sufficiently established.
